Terms of Service

1. Scope

These Terms of Service ("Terms") govern your access to and use of ODEI-hosted product surfaces, including app.odei.ai, api.odei.ai, public documentation, intake and contact flows, same-origin launch artifacts, and any hosted onboarding, launch, or runtime support surface we make available.

By using any part of the hosted service, you agree to these Terms. If you do not agree, do not use the hosted surfaces.

2. Operator and Contact Channel

These hosted surfaces are operated through ODEI. Legal, commercial, and diligence matters are handled through [email protected]. References to "ODEI", "we", "us", or "our" mean the operator of these hosted surfaces.

3. Service Model

ODEI combines hosted launch, documentation, and API surfaces with a local-first runtime model. Hosted surfaces may provide launch contracts, session and resume artifacts, world-model views, API endpoints, and proof surfaces. They do not mean that all runtime state or execution is hosted by ODEI.

  • Features, endpoints, launch flows, and interfaces may evolve over time.
  • Displayed metrics, blockchain views, graph counts, and market data are operational surfaces, not guarantees or warranties.
  • No hosted surface is guaranteed to remain continuously available unless expressly covered by a written commercial agreement.

4. Local-First Boundary

ODEI is designed so that significant runtime state, browser state, local execution, world-model data, and local receipts may remain on your own machine. Hosted artifacts are a control-plane layer, not a claim over your local environment.

You are responsible for the security, legality, and integrity of your own device, wallet, browser, extensions, terminal tools, and any local runtime you choose to operate.

5. Connected Accounts, Approvals, and Automation

If you connect email, calendars, wallets, model providers, APIs, or any other external account, you are responsible for:

  • Having authority to connect and use those accounts;
  • Setting appropriate approval boundaries, spending limits, governance settings, and permissions;
  • Reviewing outputs, actions, and automations before relying on them in high-risk contexts;
  • Ensuring your use complies with the terms of the connected provider and applicable law.

ODEI provides infrastructure and control surfaces. You remain responsible for the choices you make, the approvals you grant, and the downstream consequences of connected-account actions.

6. Third-Party Providers and External Systems

ODEI may interoperate with third-party model providers, wallets, browser extensions, external APIs, cloud services, and blockchain infrastructure. Those providers are independent from ODEI unless a written agreement states otherwise.

  • Third-party outages, throttling, policy changes, or billing issues can affect your experience.
  • We do not control how third-party providers process your prompts, account data, or transactions.
  • You must review and accept the terms and privacy practices of any third-party system you choose to use.

7. Acceptable Use

You may not use the hosted service to:

  • Scrape, abuse, or overload endpoints beyond documented or reasonable operational limits;
  • Bypass payment gates, approval systems, rate limits, or policy controls;
  • Facilitate fraud, sanctions evasion, money laundering, malware, or other unlawful activity;
  • Impersonate ODEI or misrepresent an affiliation with ODEI;
  • Reverse-engineer or interfere with hosted systems except where applicable law permits it.

We may throttle, suspend, or terminate access where use threatens service integrity, security, or legal compliance.

8. Data Submitted by You

You represent that any data, credentials, wallet addresses, endpoint details, or operational context you submit through hosted ODEI surfaces is accurate, lawfully provided, and permitted for the purpose you are using it.

Our handling of personal data is described in the Privacy Notice.

9. Payments and Gated Access

Certain endpoints or flows may require payment, cohort approval, or explicit activation. Where payment applies:

  • pricing and access conditions are described in the relevant documentation or endpoint contract;
  • payments are final except where law requires otherwise;
  • you are responsible for sending value to the correct address, network, or payment path.

10. Token Disclaimer

$ODAI is a utility and governance token on Base (0x0086cff0c1e5d17b19f5bcd4c8840a5b4251d959). It is not equity, debt, a security, or an investment contract. We do not guarantee price, liquidity, appreciation, or any financial outcome. You are solely responsible for your own token-related decisions and legal compliance.

11. Third-Party Marks and References

The service may reference external brands, protocols, or products for interoperability or factual attribution. Unless a written agreement says otherwise, those references do not imply sponsorship, endorsement, or affiliation.

12. No Financial, Legal, or Tax Advice

Nothing on ODEI-hosted surfaces constitutes financial, legal, tax, or investment advice, or a recommendation to buy, sell, or hold any asset. You are responsible for your own diligence and for consulting qualified advisers where needed.

13. Intellectual Property

The hosted service, including its software, visual systems, APIs, launch contracts, documentation, graph schemas, and branding, is owned by or licensed to ODEI. You may not copy, distribute, or create derivative works from the hosted service except as permitted by law or written authorization.

14. Disclaimer of Warranties

To the maximum extent permitted by law, the hosted service is provided "as is" and "as available". We do not warrant uninterrupted availability, error-free operation, or the accuracy, completeness, or suitability of outputs, metrics, or operational views.

15. Limitation of Liability

To the maximum extent permitted by law, ODEI is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or opportunity arising from your use of or inability to use the hosted service. Our aggregate liability is limited to the greater of the fees you paid to ODEI in the prior twelve months or USD $100, except where such a limitation is prohibited by law.

16. Suspension and Termination

We may suspend or terminate access if you breach these Terms, use the service unlawfully, or create material risk to service integrity, security, or legal compliance. Provisions that should survive termination, including disclaimers, liability limitations, and governing law, will survive.

17. Governing Law

These Terms are governed by the laws of Hungary. Disputes arising from these Terms are subject to the courts of Budapest, Hungary, unless mandatory law requires otherwise.

18. Changes and Contact

We may update these Terms as the product evolves. Material changes will be reflected by the updated date above and, where appropriate, by a visible notice on a hosted ODEI surface.
